Flat Fee Offerings

All of our filing fees include a 24-hour expedite with the Secretary of State. Please note that even with the expedite, the average time to file an LLC and/or Corporation is between 5-7 business days.

When filing a PLLC, additional documentation is required by the Department of Education. The average processing time varies by state, but in New York it is between 12-14 weeks.

Filing a Limited Liability Company (LLC)

Prices for documents are for single-person entities only. If you have more than one co-founder or partner, please review the pricing under Business Formation Documents.

• File an LLC in New York, Arizona, or Nebraska: $1,250 which includes all relevant state filing fees, registered agent fees, publication fees, obtaining an EIN, and a single-person Operating Agreement

• File an LLC in Any Other State: $750 which includes all relevant state filing fees, registered agent fees, obtaining an EIN, and a single-person Operating Agreement.

• File a New York PLLC: $1250 which includes all relevant state filing fees, registered agent fees, publication fees, Certificate of Authority fees, obtaining an EIN, and a single-person Operating Agreement.

• File an PLLC in Any Other State: $950 which includes all relevant state filing fees, registered agent fees, obtaining an EIN, and a single-person Operating Agreement.

Filing a Corporation (C-Corp)

Please note that if you have more than one member or manager with various equity ownership amounts, the Bylaws/Operating Agreement or Restricted Stock Purchase Agreements will not be included in this process. Please see Business Formation Documents for non-single member entity pricing.

• File a C-Corp: $950 which includes all relevant state filing fees, registered agent fees, obtaining an EIN, and the following documents - Bylaws, Action by Incorporator, Restricted Stock Purchase Agreement, Confidentiality and IP Assignment, and Board Consent.

Conversion from LLC to C-Corp Bundle ($3500)

If you require a conversion from an LLC to a Corporation, we offer the following flat-fee package:

• One 30 minute strategy call to determine whether it is appropriate for your LLC to convert or dissolve based on your company’s current status.

• Conversion of the LLC to the Corporation or Dissolution of the LLC and re-filing of the Corporation (includes filing fees).

• Conversion of Corporate Formation Documents (Bylaws, Restricted Stock Agreements, etc.) for you and all the equity holders.

• Update of Cap Table

Please note that if you have an outstanding contracts, service agreements, or filings with the USPTO for trademarks or other intellectual property, this will be a separate fee.

This fee does not include any taxes you may owe which must be paid prior to dissolution or conversion.

Dissolution Only ($550)

If you would like to dissolve your legal entity, LVLUP Legal can assist you with filing process through both the Secretary of State, Department of Taxation, and the Internal Revenue Service.

We charge a flat-fee of $550 for our legal services which DOES NOT include filing fees as it can vary by state and service.

This fee does not include any taxes you may owe which must be paid prior to dissolution or conversion.

Foreign Qualification ($550)

If you need to file a foreign qualification for your current LLC or C-Corp to operate in another state, LVLUP Legal can assist you with the process by filing the relevant documentation needed, as well as assisting with the necessary business licenses in that state.

We charge a flat-fee of $550 which DOES NOT include filing fees as this can vary by state.

Amendments to Legal Entity ($250)

If there is an error or amendment you would like to make to your legal entity, LVLUP Legal can assist you with the process.

We charge a flat-fee of $250 for our legal services which DOES NOT include filing fees as it can vary by state and service.

• This meeting will include a full analysis of your business model, goals, and exit strategy. This will include:

  • A review of your Company’s current Cap table, equity distribution, and how equity should be redistributed for your capital raise.

  • The type of legal documents you will need and what you should raise on (Convertible Note, SAFE, Warrant, straight equity, etc.)

  • A suggested amount you should be raising and a pre or post-money valuation cap.

• Please note that this is only an advisory meeting and will not include any legal documents or contracts which can be purchased separately.
